Tax Treatment of Limited Liability Company

Tax Treatment

LLCs enjoy very favourable tax treatment. They don't have their own set of tax rules and there's no such thing as an LLC tax return. What makes them special is that members can choose how the business is taxed.

A single member LLC can choose to be taxed as a:

• Sole proprietor
• S corporation, or
• C corporation

A multiple-member LLC can choose to be taxed as a:

• Partnership
• S corporation, or
• C corporation


By default LLCs are pass-through entities and taxed like sole proprietors or partnerships. In other words, the profits or losses of the business flow through to the members personal tax returns.

A single-member LLC must complete Schedule C, just like any other sole proprietor, and multiple member LLCs must complete Form 1065, just like a partnership.

You can elect for your LLC to be taxed as a C corporation by completing Form 8832 with the IRS. Alternatively, you can complete Form 2553 and elect for your LLC to be taxed as an S corporation. The business still remains an LLC, all that changes is the tax treatment.

Many tax pros say it's best to have the LLC taxed as a sole proprietorship or partnership in the early years when profits are small or there are losses. Losses flow straight through to your personal tax return and can offset other income.

Later on, when the business is more profitable, it may be a good idea to elect for corporate tax treatment so that some surplus profits kept in the business can be taxed at the 15% corporate tax rate. This is known as income splitting.

LLCs that can benefit from corporate tax treatment often go the whole nine yards and incorporate so as to enjoy other benefits unique to corporations, such as access to outside investors and employee stock options.

Converting an LLC to a corporation is a non-taxable event.

State Tax Treatment - S Corp Vs C Corp

The tax treatment of LLCs (and corporations, for that matter) varies considerably from state to state. Some have much lower taxes than others. For example, Nevada doesn't levy any income tax on individuals or corporations

You can set up your LLC in any state you like, so is it a good idea to pick a state with very low taxes?

The answer is NO because if a business owns property, employs people or makes sales in any state it generally owes taxes in that state.

So if you form an LLC in Nevada but do all your business in California, you will still have to pay California state income tax.

And if you fail to register in your home state you could face heavy penalties. For example, in Indiana an LLC formed in another state faces a penalty of up to $10,000 if it does business in Indiana without a certificate of authority.

So why is Nevada so popular with people setting up LLCs and corporations? The main legitimate reason is for the extra liability protection available in that state.

The important point is this:
Do not set up your LLC or corporation in another state just to save tax.

Ready. Fire. Aim! Don`t Waste Your Advertising

Are you wasting your advertising dollars? How can you tell?
When you aren`t getting any sales at all, it`s easy to tell an ad isn`t working.

If you are only running one ad, it`s easy to tell where sales come from.

But what about when you start running multiple ad campaigns? Placing ads is easy to do on the Internet with so many advertising resources available.

It can be pretty easy to go on an advertising rampage and spend an entire day or evening posting ads all over the place.

Going to Google and searching for "free classified ads" could keep you busy for the next few months!

So one night, you decide to go on that Internet advertising rampage. You seek out and find all the free classified ad sites you can locate. You post ads like crazy. You even decide to pay a little bit and upgrade some of those ads.

"Surely, somebody has to respond! I`ve got ads all over the place!".

Does this sound familiar? I know I`ve sure done it. A LOT! When I first started out in Internet marketing, I would pull marathon sessions and advertise like a mad man. I was the copy and paste king!

And sure enough... we start to see some activity, don`t we?

All those ads are flying around out there and by golly... we`re starting to see some action! People are emailing to ask about the offer. People are filling out your subscription forms to request more information and subscribing to your AutoResponder.

"Hooray! It`s working!" you say. "My ads are working!"

But which ads are working? You stayed up for 4 hours last night posting internet ads and now you`re finally seeing some results.

Before you spend another 4 hours blindly posting ads and hoping for the best, it`s time to figure out which ads are worth renewing.

This is where the "Aim" from "Ready. Fire. Aim." comes in. Instead of blindly posting ads all over the Internet, start tracking your ads to find out exactly which ads are producing your results.

How do you track your ads?

Tracking your ads online is as simple as using a unique AdTrack URL in place of your actual URL for all of your online ads.

Suppose you want to run multiple ad campaigns to bring people to your capture page. Your goal is to generate leads for your offer.

You decide to run your ad with 2 different ad resources. For the sake of this example, let`s say you are going to advertise on:

1) ffa.trafficwave.net
2) Subscribeme.net

Note: These sites are given as examples only. They are actual ad sites.
Because they are "free", if you use these sites, I recommend using an
alternate email address to avoid having your inbox flooded with confirmations
and counter offers. The true cost of "free" ads is the return emails you
receive. Some times the results can be worth it but ALWAYS use an alternate
email address to avoid having your primary email swamped.

Normally, you would create your ad and then just put the actual URL directly in to the ads you run.

But now you are going to create a unique AdTrack URL for each place that you want to advertise. So in this case, you will want to create an AdTrack URL for ffa.trafficwave.net and a separate AdTrack URL for subscribeme.net

When you run your ad in ffa.trafficwave.net, instead of using your actual URL, you would use the AdTrack URL you created for ffa.trafficwave.net.

When you run your ad in subscribeme.net, instead of using your actual URL, you would use the AdTrack URL you created for subscribeme.net

In both cases, when someone responds to your ad by clicking your AdTrack URL, two things will happen:

1) Your AdTrack stats will go up by 1.
2) The prospect will be redirected to your actual URL.

Now, at any time, you can log in to your account and track the progress of each ad. Let`s suppose that after a week, you look at your stats and you see that ffa.trafficwave.net produced 25 clicks and subscribeme.net produced 3 clicks. Now you know exactly which ad resource is giving you the best return.

And now it is decision time. Do you renew both ads as they are? Do you drop the subscribeme.net resource altogether or do you modify that ad and try that resource again?

Now that you are tracking your ad results, you can fine tune, test, and tweak all of your ad copy. Knowing what is working and what is not working puts the power in your hands and lets you maximize your advertising effectiveness.

When you know you have an ad that is producing consistent results, you may want to start using that ad on more ad sites. If you use 10 ad sites, create 10 different AdTrack URL`s for the ad so that you can always know which ad resource is working for you.

How About Tracking AutoResponder Letters?

Another way to use AdTrack URL`s is to test the effectiveness of your AutoResponder messages. If you have ten follow-up messages set up in your AutoResponder, create 10 different AdTrack URL`s and use one in each letter. This will show you exactly which letters your prospects are responding to and which letters may need to be tweaked a bit to improve your response rate.

How About Testing Link Placement In Your Web Copy?

What if you have a web site with long ad copy that has multiple "order" links from top to bottom?

Wouldn`t it be great to know if your prospects are ordering from the top link, the middle link, or the bottom link? You could create a separate AdTrack URL for each "order" link on your web page. You may find that most prospects aren`t reading all the way down to the bottom. They could be clicking that top link right away. Or maybe they DO read all that copy and wait until they get to the bottom of the page before clicking your "order" link. This is valuable information and lets you know just how users are interacting with your web site.

Be Creative With Your AdTrack URL`s.

Be creative with tracking your ads. Just about any ad you are running online can be tracked with an AdTrack URL.

When you know what is working and what is not, you are able to make intelligent informed decisions about your advertising resources including your time and your money.

The Google Adsense Social Respect the Blogosphere

Junior high was a trying time for most of us. Our popularity was based upon our approval by our peers. Sometimes, that popularity was justified, sometimes not. Often folks gained popularity for all the wrong reasons while those of us on the unpopular side were rejected despite our good traits.

Much the same kind of treatment exists in the world of blogging. Except instead of being judged quickly by 12 year olds, a bloggers ideas and popularity are judged by a cast of thousands from all walks of life and all around the globe. Popular bloggers range from the socially graceful to the socially awkward, but their words are valued by a much larger audience.

Blogs (short for "web logs") are collections of articles typically centered around a subject area posted by an individual or group of individuals. In the beginning these web logs were intended to communicate simple change information for the host site. They were not a destination in and of themselves.

Since the beginning, these "blogs" have become sources of rich commentary, biting cynicism and good humor. Many blogs are casual musings of the site owner. But to a few, writing blogs has become a full time job -- and to a growing few, a very well paid full time job.

Take for example, Kevin Kelly`s Cool Tools. kk.org began as a place for a well respected author and social commentator to post information on tools he liked to use -- kitchen tools, garden tools, gadgets, etc. Now, Cool Tools is a trusted source, a place folks can go to research the "best of the best." Other popular blogging sites have similar stories. Jalopnik.com, Engadget.com, Instapundit.com just to name a few. Blogs are typically written for people who know the site owner personally, but they have grown to make experts out of these folks -- folks whose opinions and words are validated by the community of the internet.

Which brings up a great feature of the new generation of blogs: accountability and peer review. In the scientific community, peer review is of utmost importance. When a researcher makes progress on an important medical advance, for example, the progress is verified by other researchers in his or her field. The same is with blogging, except in addition to other experts in the field, the blog content is verified by the internet community at large through comments or other blogs. Blogs in effect police themselves. If many people find the information in a blog useful and true, the blog gets promoted, praised and referenced.

So, can folks really make a living writing blogs? Oh yes. Through advertising and traffic and the magic of advertising services such as Google, blog sites can rake in copious amounts of money. If a person is a respected blogger, traffic to his or her site can generate hundreds or thousands of dollars per month in ad revenue. Using tools such as Google AdSense and AdWords, the blogger can imbed links to related sites. Readers visit the blog, notice the ads that are related to the article they are reading and click.

If you are an expert in a field and already publish papers and/or articles to a group of peers, you are well on your way to becoming a successful blogger. If you are a respected member of a large fan base, you too can blog about the things you love and potentially make some extra cash. Or you may just end up living through the Junior High of the internet and blog all day long to no one interested.

The current economic slump in United States has opened up a window of opportunity for foreign buyers interested in gaining foothold in USA. The deal is further sweetened for them as most of the domestic players will shy away from acquiring businesses due to the recession and weakening dollar situation.

The Copy Writing Technique that Grabs People`s Attention

One of the biggest rookie mistakes when a business owner is writing his own brochure or flyer printing piece is focusing on the features instead of the benefits.

As Perry Marshall says: "Why is it better to offer problem-solving information than a straight sales pitch? Because, nobody who bought a drill wanted a drill. They wanted a hole."

That means if you sell drills, you need to talk about holes, not drills!

These sums up pretty well the idea that you need to sell benefits, not features. It is not a secret that talking about benefits instead of features works, but most people still does not do it. That makes this time as good as any for you to incorporate the technique in your marketing copy!

Many new business owners write their own marketing materials, such as promotional flyers, brochures and some may even use newsletter printing. This is fine, great even, if they write what the consumer wants to hear.

It is not hard to realize why a new business owner might struggle with writing marketing materials – she has a lot of other things to do! And, she becomes so intimately involved with the business that she might forget some of the benefits because they are so obvious to her. But her potential customers do not know that yet!

Since many business owners think this way, all their marketing materials come out the same. Their promotional flyers all say "We have the best widget" or "Look at these features on our new widget." From a customer's point of view, all these businesses are the same. They need to know what differentiates you from your competition. Talk about that difference in reference to your benefits. What benefits does your product have that your competition's product does not have?

Make the benefits your main point. This cannot be stressed enough – people respond to benefits. They want to know what is in it for them. How will you help them? If your flyer printing piece only states what your product does, and not how it will help people or provide a solution for them, it is not going to be effective.

The benefits are not something that should be left for page 2 of your brochure or newsletter printing piece. Use your headlines on your first page, and every page after that to tout your benefits. People skim before they read the smaller print, so be sure that your headlines are in an easy-to-read font with words that jump out at people, like "solution." This is what they are looking for.

Extra Revenue for Your Website Could Be a Discount Away

For many of you out there, running a business can be a daunting task. For you small business owners, you are not only the president and CEO but you are also, the accountant, the marketing guru, human resources and everything else under the sun. So anytime a new suggestion on how to increase revenue comes along you grab hold of it like a life raft from a sinking ship.

I was searching online the other day for toys for my son to take to the beach. I am not much of a beach person myself as the thought of baking myself to a rosy red hue is not really appealing. My son enjoys the beach and being able to play in the sand, build castles and so on, so I go.

While doing my online searches for his toys, I found a really neat plastic beach buggy. I thought it was perfect for him and for the beach so I started the process by which to finalize the purchase.

Each screen went by asking for the information necessary to complete the transaction until I landed on a screen that offered another product at a huge discount so as long as I bought it during this purchase. I thought that was a great idea.

Here the customer is already making a purchase and the company is offering something at a big discount. What they are actually doing is increasing the revenue of each order or at least trying to. For the customer you save on the product itself as well as shipping charges. So this is a win-win situation for everybody.

If you run an online business where you ship products or offer services you too can offer a similar discount. For example if you sell woodworking tools and the customer buys some drill bits offer the drill bit sharpener at a reduced rate, free shipping and so on. Just make sure the discount that you give does not put you into a negative value. Otherwise what would be the point of the offer if you are just losing money? You are in business to prosper, not perish.

If you are a service oriented business you can tack on additional services for lower costs. For example if you are a drywall installer, you can offer to paint one coat of primer for a larger discount than if the person hired a painter. Sure the owner could paint it themselves, but the discount you are giving them is so good it is hard to pass it up. This will not only get you a little extra revenue, but because you made the customer so happy, they will invariably recommend you to their friends.

Whatever your business is you need to offer these extra discounted upsells to each and every customer that walks through your doors or makes a purchase from you online. Doing so will increase your customer base and your revenue with a very minimal amount of extra work.

Turn Your Advertisement into an Article

Sitting at my kitchen table the other morning I decided, as I always do, to read some stories in the newspaper. I like our local newspaper as the writers they have working for them are very good and very thorough in the stories they are trying to translate.

I started reading some articles in their business section. One article I picked out in particular was talking about a handful companies and their stock prices as they are rising and falling based on certain factors and how society may be contributing to them. But what caught my eye was not the article itself but the advertisement located directly to its right on the page. The advertisement clearly stood out from the article, which I am sure was the company’s intent when they ran it.

This advertisement was segmented away from the article by being boxed in with a thick dark border so as readers could tell it was not part of the article itself. Now I have seen advertisements like this before so it was nothing new, but it did remind me of the importance of how to relay what you are selling to the reader in the form of information as opposed to a “buy it now” type of advertisement.

The advertisement I was looking at was in the form of an article. The article told a story and painted a visual picture of what the product was, how it was used and who could benefit most from using it. It gave a variety of statistics, that although I did not personally verify, I am sure they can be validated with a little research.

This means of advertising to your customers appeals on a personal level. It doesn’t matter if you are advertising in the newspaper, a magazine, on TV, radio or on the internet. The most affective forms of advertising today hit potential customers on an emotional level. This particular story does just that.

Imagine if you sold a product. Your product is used to help prevent fires in the home. You begin to write and advertisement in the form of an article that talks about how many homes are lost each year due to fires, how many lives it claims and so on. This makes your product appeal to them before they even know what it does. Now paint a picture to the reader as to how your product can reduce those numbers. Can you see how this form of advertising can be beneficial to you and the customer? Of course you can.

The Social Networks and Blog Overload Madness

No doubt you already belong to one of the social network sites the likes such as Myspace, Yuwie, Facebook, Direct Matches, or one of the dozen others that have sprung up like mushrooms. You will probably have received some sort of e-mail from a buddy or someone telling you to join one right away because it is the next big thing in marketing. Some savvy webmasters are also jumping on the bandwagon and starting new social networks and it can be rather disconcerting to be told to join a new one almost every day by some well meaning friend because they promise you it is going to be the next best thing. The every same people tell you that as a marketing tactic social networking is going to be huge and you believe them.

Social network and blogging overload is coming.

You will discover that almost all these social network sites have a blog that you can keep up as well. The majority of people only have enough time to efficiently manage two or maybe three social networking sites. This is even truer if they all have blogs that should be kept updated to some sort of regularity. From a marketing point of view, if you have any experience in internet marketing then you will know that the only real advantage a blog has as a marketing tool is when you keep it updated with fresh content all the time. If you are trying to manage 4 or 5 of these blogs or social network sites it is going to become more of a chore than a pleasure which is what these social network sites were originally all about.

Already the well known social network sites are starting to restrict the amount of promotion and linking you can do on your blog or website.
